Who we are and what this covers

MetroPay is a product of Studio Metrodesk, a sole proprietorship trading under a Dhaka North City Corporation trade licence as an IT and export business, established 30 October 2023, at Haque Chamber, 89/2 West Panthapath, Tejgaon, Sher-E-Bangla Nagar, Dhaka 1215, Bangladesh.

These terms govern your use of the MetroPay application, its websites, and any workspace you create or join. By creating an account, or by accepting an invitation to join a workspace, you agree to them. If you are agreeing on behalf of a business, you confirm you may bind it.

These terms are governed by the laws of Bangladesh, and the courts of Dhaka have jurisdiction over any dispute arising from them.

Your account

One login belongs to one person. Keep your password to yourself, and turn on two-factor authentication or a passkey — both are available under Settings, Security.

You are responsible for what happens under your login. Tell us promptly if you think someone else has it.

Workspaces, roles, and who may act

A workspace belongs to the business that created it, not to the individual who registered it. Owners and admins can invite people, change roles, remove access, and see everything in the workspace, including work done by other members.

Some actions — changing a custom domain, editing payment gateway credentials — ask you to confirm your password again even though you are already signed in. That is deliberate, and it protects you from anyone who reaches an unattended screen.

Acceptable use

Do not use MetroPay to:

• send bulk unsolicited email, or import lists of people who never asked to hear from you;
• invoice for goods or services that are illegal where you or your customer are;
• impersonate another business, including through a custom domain or borrowed branding;
• probe, scrape or overload the service, or attempt to reach another workspace's data.

We may suspend a workspace that breaks this section. Where we can, we will tell you first and give you a chance to put it right.

Your data is yours

Everything you put into MetroPay — customers, invoices, items, files, branding — remains yours. We hold it to run the service for you and for no other purpose. We do not sell it, and we do not use your customers' details to market anything.

Where that data is personal information about your customers, you are the controller and we are your processor. What that means in practice is set out in Part II of the Privacy Policy.

You can export your customers and invoices at any time while your account is open.

Sending email through MetroPay

When you sign up, your invoices, reminders and statements go out from a metropay.app address. If you verify your own sending domain in settings, they go out from yours instead and your customers see nothing of ours — that is what makes a workspace white-labelled.

Verifying a domain means publishing DNS records we give you, and keeping them published. If they lapse, delivery falls back to our address so your invoices still arrive.

Deliverability is shared. Mail from one workspace that gets marked as spam affects everyone, so we monitor complaint rates and may pause sending for a workspace that puts the rest at risk.

Every invoice and reminder carries a one-click unsubscribe link, as bulk email standards require. We honour it, and a customer who unsubscribes stops receiving reminders.

Getting paid

MetroPay is not a payment processor and never holds your money. When a customer pays online, the funds move from them to your own Stripe or SSLCommerz account, under your agreement with that provider. We pass the instruction along and record the result.

That means their terms, their fees, their payout schedule and their dispute process apply. If a payment fails, is refunded, or is charged back, it is between you, your customer, and the provider.

For payments made outside those gateways — a wire, a deposit, a cheque — a customer can report the payment from their invoice page, and you confirm or reject it. A reported payment is a claim, not a receipt: nothing is settled until you say so.

Custom domains

You may serve your invoice pages from your own domain. You must own it and keep its DNS pointed at us for as long as you use it. We obtain and renew the certificate.

Your invoice pages stay branded as yours. We do not advertise on them. They carry one quiet link explaining how a recipient's details are handled, because the person reading the page has a right to know who holds their data.

Fees

MetroPay is free to use at the moment. There is no subscription, no trial clock, and no card on file.

We intend to introduce paid plans. When we do, we will tell you by email at least 30 days beforehand, and you will never be charged without choosing a plan first. Nothing you have already created stops working while you decide.

Payment provider fees are separate and always have been — Stripe and SSLCommerz charge you under your own agreement with them.

Availability and changes

We work to keep MetroPay available, but we do not promise uninterrupted service. We may change, add or remove features. Where a change would remove something you rely on, we will give you reasonable notice.

Suspension, termination and what happens to your data

You may close your account at any time. We may suspend or close an account that breaks these terms, that is being used unlawfully, or where we are required to.

If your account closes for any reason, you have 30 days to export your data before we begin deleting it. We will not delete your records inside that window.

Intellectual property

MetroPay's software, design and brand are ours. These terms grant you the right to use the service, not to copy, resell or reverse-engineer it. Your content, branding and data remain entirely yours.

Disclaimers

MetroPay is provided as it is. We do not warrant that it will be error-free, or that it is fit for a particular purpose beyond what is described in our documentation.

MetroPay is not an accountant. Tax rates, tax treatment and the legal sufficiency of an invoice in your jurisdiction are yours to determine. The software calculates what you tell it to calculate.

Limitation of liability

To the extent the law permits, we are not liable for indirect or consequential loss, for lost profits, or for loss of data where you could reasonably have exported it.

Studio Metrodesk is a sole proprietorship, not a limited company. That means this section is a contractual undertaking rather than a corporate shield, and nothing in it is intended to exclude liability that the law of Bangladesh does not permit us to exclude.

Changes to these terms

We may update these terms. The version and effective date at the top of this page always tell you which text is current, and previous versions stay published so you can see what changed.

If a change materially reduces your rights, we will tell you by email before it takes effect.
